1. Introduction
These Terms & Conditions ("Terms") govern your use of the Hermyx website and, to the extent they are referenced in a proposal or statement of work, the professional services we provide. By accessing our site or engaging with us, you agree to these Terms.
If you enter into a separate written agreement with Hermyx (such as a master services agreement or statement of work), that agreement will control to the extent there is any conflict with these Terms.
2. Use of the Website
You agree to use this website only for lawful purposes and in a way that does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of the site.
You must not attempt to gain unauthorized access to any part of the site, our infrastructure, or any related systems or networks.
3. Proposals, Statements of Work & Engagements
Any descriptions of services, timelines, or pricing that we share with you (including proposals, estimates, or statements of work) are not binding until both parties agree to them in writing.
Once an engagement is agreed, the applicable statement of work will describe the scope of services, deliverables, responsibilities, and commercial terms for that project.
4. Client Responsibilities
You are responsible for providing accurate information, timely feedback, and access to resources needed for us to deliver the services (including relevant systems, environments, and decision‑makers).
You are also responsible for ensuring that your use of our deliverables complies with applicable laws, regulations, and any third‑party terms that apply to your business or industry.
5. Fees, Invoicing & Taxes
Unless otherwise agreed in writing, our services are billed as described in the applicable proposal or statement of work. Invoices are due within the payment terms specified on the invoice.
Late payments may be subject to interest or suspension of services. All fees are exclusive of any applicable taxes, duties, or similar governmental assessments, which are your responsibility.
6. Intellectual Property
Hermyx retains all intellectual property rights in its pre‑existing materials, tools, methods, and know‑how that we use in the course of delivering services.
Unless otherwise agreed in a written contract, and subject to full payment of applicable fees, you receive a non‑exclusive, non‑transferable license to use the deliverables we create for you in connection with your internal business purposes.
7. Confidentiality
Each party agrees to protect the other's confidential information and to use it only for purposes related to the services. Confidential information includes non‑public business, technical, and financial information disclosed by one party to the other.
Confidential information does not include information that becomes public through no fault of the receiving party, was already known, or was independently developed without use of the other party's confidential information.
8. Disclaimers
Except as expressly stated in a written agreement signed by both parties, the website and services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, or non‑infringement.
9. Limitation of Liability
To the maximum extent permitted by law, neither Hermyx nor its team members will be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunities, arising out of or related to these Terms or the services.
To the extent permitted by law, Hermyx's total aggregate liability arising out of or relating to the services will be limited to the fees you paid to Hermyx for the specific services giving rise to the claim during the twelve (12) months before the event giving rise to the claim.
10. Third‑Party Services
Our work may involve integrating or relying on third‑party platforms, tools, or services. Those services are governed by their own terms and privacy policies, and we are not responsible for how those third parties operate.
11. Governing Law & Dispute Resolution
These Terms are governed by the laws of the United States and the jurisdiction in which Hermyx is organized, without regard to conflict of law principles.
The parties will first attempt to resolve any dispute informally and in good faith. If a resolution cannot be reached, disputes will be handled in accordance with the dispute resolution process described in any applicable written agreement, or otherwise in the courts of the applicable jurisdiction.
12. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the date of the Terms and, where appropriate, provide additional notice.
Your continued use of the website or engagement of our services after the updated Terms become effective means that you accept the revised Terms.
